Affiliate Program Terms

1. Introduction

These Affiliate Program Terms ("Terms") govern your participation in the Mindhyv Affiliate Program ("Program") operated by Mindhyv, LLC ("Company," "we," "us," or "our"). By enrolling in the Program, you ("Affiliate," "you," or "your") agree to be bound by these Terms in addition to the Mindhyv Terms of Service.

Independent Contractor Relationship. You and the Company are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and the Company. You have no authority to bind the Company or make representations on its behalf.

Eligibility

To participate in the Program, you must meet all of the following requirements:

  • Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater)
  • Have an active Mindhyv account in good standing
  • Not have any prior account terminations for violations of our Terms of Service, Community Guidelines, or Acceptable Use Policy
  • Comply with all applicable laws and regulations governing affiliate marketing, advertising, and endorsements in your jurisdiction
  • Provide accurate and complete information in your affiliate application

Prohibited Participants

The following individuals and entities are not eligible for the Program:

  • Users whose accounts are currently suspended or restricted
  • Users who have been previously removed from the Program for violations
  • Minors under the age of 18
  • Employees, officers, and directors of the Company and their immediate family members (unless expressly approved in writing)

2. Program Structure

The Mindhyv Affiliate Program enables eligible users to earn commissions by referring new customers to the Mindhyv platform ("Platform") through unique referral codes and tracking links. Affiliates earn commissions on qualifying new user signups and purchases made by referred users, subject to the terms and conditions set forth herein.

Referral Codes and Tracking Links

Upon acceptance into the Program, you will receive a unique referral code and tracking link for use in your promotional activities. These credentials are personal to you and may not be transferred, sold, or shared with any other person or entity. You are responsible for all activity that occurs through your referral code or link.

Qualifying Events

A "qualifying event" is a transaction that meets all of the following criteria:

  • The referred user clicked your unique referral link or entered your referral code
  • The referred user created a new Mindhyv account (existing users do not qualify)
  • The referred user completed a qualifying purchase within the attribution window
  • The transaction was not reversed, refunded, or charged back
  • The referred user's account is in good standing at the time of commission calculation

3. Commission & Tracking

Attribution Window

A referral is attributed to you if the referred user completes a qualifying purchase within the applicable attribution window following their click of your referral link or entry of your referral code. Attribution uses a last-click model — if a user clicks multiple affiliate links, the commission is attributed to the last affiliate whose link was clicked before the qualifying purchase. When a user clicks your referral link, a tracking cookie is placed in their browser. If the user clears their cookies or uses a different device or browser, attribution may be lost. The Company is not liable for lost attribution due to user actions or technical limitations.

Minimum Payout Threshold

Commissions are payable only when your accrued balance reaches the minimum payout threshold as displayed in your affiliate dashboard. Balances below the minimum threshold will carry forward to the next payment period.

Payment Schedule

Commissions are calculated and paid on a monthly basis, typically within a reasonable period following the close of each calendar month, subject to the minimum payout threshold and any applicable holdback period. The Company reserves the right to adjust the payment schedule with reasonable notice.

Holdback Period

To allow for fraud review, chargebacks, and refunds, the Company maintains a holdback period before commissions are released for payment. The duration of the holdback period is displayed in your affiliate dashboard and may be adjusted by the Company at any time. Commissions subject to an active holdback period are not available for disbursement.

Payment Method

All commission payments are processed through your Mindhyv wallet. From your wallet, you may withdraw funds to an external account subject to applicable withdrawal limits and processing times. The Company is not responsible for delays caused by third-party payment processors.

Commission Adjustments

If a qualifying transaction is subsequently reversed, refunded, or charged back, the associated commission will be deducted from your accrued balance. If your balance is insufficient to cover the deduction, the negative balance will carry forward and be offset against future commissions. Commissions on transactions involving returned products or canceled subscriptions within the applicable return or cancellation period will also be reversed.

4. FTC Disclosure Requirements

In accordance with the Federal Trade Commission (FTC) Endorsement Guides (16 CFR Part 255) and comparable laws in other jurisdictions, you must clearly and conspicuously disclose your material connection to the Company whenever you promote the Platform or share your referral link.

Suggested Disclosure Language

You may use the following disclosure language, or substantially similar language:

  • "I am an affiliate of Honeycomb by Mindhyv and may earn a commission if you sign up through my link."
  • "This post contains affiliate links. I earn a commission on qualifying purchases at no extra cost to you. #ad #affiliate"

Placement Requirements

Disclosures must be:

  • Clear and conspicuous — easily noticeable and understandable to a reasonable consumer
  • Proximate — placed near the affiliate link or endorsement, not buried in footnotes, "About" pages, or separate disclosure pages
  • Unavoidable — consumers should see the disclosure before clicking the affiliate link
  • In the same medium — if your endorsement is in a video, the disclosure must be in the video (not just the description); if in a social media post, the disclosure must be in the post itself

Truthfulness

All claims you make about the Platform must be truthful and not misleading, substantiated, based on your genuine experience, and consistent with the Company's official marketing materials and feature descriptions. Do not fabricate testimonials, results, or endorsements.

5. Prohibited Practices

You must not engage in any of the following practices:

Spam

Sending unsolicited bulk emails, messages, or communications containing your referral link; posting referral links in comment sections, forums, or communities where such posting is prohibited or considered spam; or using automated tools to distribute referral links.

Misleading Claims

Making false, misleading, or unsubstantiated claims about the Platform, its features, pricing, or benefits; implying endorsement by celebrities, public figures, or organizations without their authorization; or misrepresenting your relationship with the Company (e.g., claiming to be an employee or official representative).

Cookie Stuffing

Using hidden iframes, pop-unders, or any other technique to set referral cookies on users' devices without their knowledge or consent, or employing any method to manipulate the tracking or attribution system.

Unauthorized Trademark Bidding

Bidding on the Company's trademarks, brand names, or variations thereof (including "Honeycomb," "Mindhyv," or common misspellings) as keywords in paid search advertising without prior written approval, or registering domain names that contain the Company's trademarks or confusingly similar variations.

Fake Reviews

Creating or soliciting fabricated reviews, ratings, or testimonials about the Platform, or offering compensation to third parties in exchange for posting reviews that do not reflect genuine user experiences.

Self-Referrals

Using your own referral link or code to create accounts or make purchases for yourself, referring individuals within your own household for the primary purpose of earning commissions, or creating multiple accounts to self-refer or generate fraudulent commissions.

Enforcement

Violations of this Section may result in:

  • Forfeiture of all unpaid commissions
  • Clawback of commissions previously paid that were earned through prohibited practices
  • Immediate termination from the Program
  • Suspension or termination of your Mindhyv account
  • Legal action to recover damages

6. Tax Obligations

You are solely responsible for determining, reporting, and remitting all taxes applicable to commissions you earn through the Program. The Company does not provide tax advice. We strongly recommend consulting a qualified tax professional regarding your specific tax obligations.

U.S. Participants

If you are a U.S. person (as defined by the IRS), you must provide a completed and signed IRS Form W-9 before any commissions will be disbursed. If your total commissions in a calendar year equal or exceed $600 USD, the Company will issue an IRS Form 1099-NEC to you and file a copy with the IRS as required by applicable law. You are responsible for reporting all commission income to the IRS regardless of whether a 1099-NEC is issued.

International Affiliates

Non-U.S. affiliates must provide a completed IRS Form W-8BEN (individuals) or W-8BEN-E (entities) before commissions will be disbursed. Unless a valid tax treaty claim and appropriate documentation are provided, the Company will apply a 30% withholding tax on commission payments to non-U.S. affiliates as required under U.S. tax law. You are responsible for determining whether a tax treaty between your country of residence and the United States reduces applicable withholding rates, and for providing the required documentation to claim any reduced rate. You are solely responsible for compliance with all tax obligations in your country of residence.

7. Termination

Voluntary Termination

You may terminate your participation in the Program at any time by providing the Company with 30 days' written notice via email to [email protected]. Upon termination, you must immediately cease all use of Company trademarks, referral links, and promotional materials.

Termination by Company Without Cause

The Company may terminate your participation in the Program at any time for any reason by providing 30 days' written notice to the email address associated with your Mindhyv account.

Termination for Cause

The Company may terminate your participation in the Program immediately and without notice in the event of fraud, violation of these Terms or any other Mindhyv policy, or any conduct that the Company reasonably determines is detrimental to the Program or the Company's reputation. Termination for cause may result in a clawback of previously paid commissions earned through prohibited or fraudulent activity.

Effect of Termination

Upon termination of your participation in the Program for any reason:

  • Your referral links and codes will be deactivated
  • No new commissions will be accrued after the effective termination date
  • Accrued commissions will be paid only if the minimum payout threshold has been met and any applicable holdback periods have expired
  • The Company reserves the right to withhold or offset commissions to cover potential chargebacks, refunds, or clawbacks

8. Changes to These Terms

We may update these Affiliate Program Terms from time to time to reflect changes in our commission structure, applicable law, or business practices. When we make material changes, we will provide notice via email to the address associated with your Mindhyv account and by posting an updated version with a revised effective date on this page.

Commission rates may be adjusted with advance notice to affiliates. Your continued participation in the Program after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the updated terms, you must notify us and cease participation before the effective date.
